Electronic Membership Agreement

This electronic Membership  Agreement, made and entered into on Sunday, August 25, 2019 - 19:12, by and between Banks National, (hereinafter referred to as “Association”), and a licensed Real Estate broker, licensed real estate agent, certified investor, or licensed contractor (hereinafter referred to as "Member").

 

Recitals:

WHEREAS: Association is a real estate syndicate offering members lead generation, appointment scheduling, referral services, relocation programs, customer relationship management, telephone sip trunks, database mining, virtual staffing, transaction management, and other custom advertising software solutions;

WHEREAS: Member wishes to join Association for lead generation, appointment scheduling, property syndication, advertising software, or business support services;

WHEREAS: This agreement sets forth the terms, pricing, and other conditions between the parties;

 

Agreements:

NOW THEREFORE, in consideration of the mutual covenants and agreements set forth herein and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereby agree as follows:

  1. Advertising and Lead Generation. Association will develop a custom advertising campaign and generate exclusive leads in Member’s target market by utilizing cold calls, text messaging, email marketing, direct mail, canvassing, data mining, landing pages, local real estate guides, predictive analytics, machine learning, artificial intelligence, social media, referral programs, search engine optimization, and/or relocation services.

  2. Exclusive Leads with Scheduled Appointments. Association will generate exclusive leads and schedule appointments in Member’s target zip codes. Seller leads will have a scheduled appointment in most cases at the prospect's property. Seller leads may be scheduled at a different location or by telephone if the prospect is requesting information about a rental property. Buyer leads will be pre-approved before scheduling appointments. Buyer leads will be scheduled  at the Member's office, by telephone, or at any designated location chosen by Member. Contractor leads will be property owners who want a free estimate for new construction or remodeling projects and scheduled at the prospect’s property.

  3. Prospecting Database for Cold Calls, Emails, text messaging, or Direct Mail. Association will purchase a residential and/or commercial prospecting database of one-hundred thousand database records in the zip codes chosen by Member. The database will be updated monthly and member may add or remove zip codes at any time. In addition, Member can provide personal data for Association to filter, scrub, prospect, cold call, email, and schedule appointments.

  4. Definition of Concierge Appointment and Referral Appointment. Depending on the type of membership chosen, Association will generate Concierge Appointments or Referral Appointments for member. Association and Member agree that the definition of a valid Concierge or Referral Appointment is when a prospect has indicated an interest in either selling real estate, buying real estate, remodeling, or new construction., and prospect has agreed to meet in person or by telephone with Member. Member is not obligated to take any telephone or in-person appointment and may reject any appointment for any reason. Rejected appointments, prospects who do not show up for appointments, or prospects who do not answer the telephone, are not counted as valid appointments. Member will only receive the type of appointments requested. Valid concierge or referral appointments will have the prospects name, address, telephone number, appointment date, appointment time, type of lead, and any additional comments. Member may choose to take or reject any appointment and agrees to keep Association updated by text message on the status of all referral appointments.

  5. Concierge Membership. A Concierge Membership includes personal branding and a service guarantee of between five and twenty-five appointments monthly. The Concierge Membership includes a local  telephone number, custom domain, real estate website, IDX integration, virtual staffing, answering service, telephone system, voicemail, fax service, recommendation pages, Yelp management, social media  pages, Twitter account, Facebook page, YouTube account, Instagram account, search engine optimization, ten unlimited telephone sip trunks, Vicidial Call center software, custom CRM, Drupal Content Management System, live chat software, interactive voice response, Amazon Alexa, Amazon Connect, landing pages, Google Map listing, email broadcasting, text messaging, data mining of your databases, appointment scheduling, and/or mobile phone integration of all applications. A Concierge Member make choose to take Concierge Appointments or Referral Appointments. A Concierge Member is guaranteed a minimum of sixty valid Concierge Appointments per year and may optionally receive Referral Appointments. Concierge Appointments have no associated referral fee and leads that are designated Concierge Appointments are owned by Member and not by Association.

  6. Referral Fees and Assignment. If member joins as a Referral Member, or if Member agrees to accept a referral lead or referral appointment as a Concierge Member, either in-person, online, or by telephone, Member agrees to pay any designated licensed real estate broker, or corporation when permitted by law,  assigned by Association, a twenty percent (20%) referral fee for all real estate transactions closed by Member from any real estate lead or appointment generated by Association. The referral fee shall be equal to twenty percent (20%) of the gross commission paid to Member or the Member’s broker from a transaction for licensed real estate professionals, or twenty percent of three percent of the purchase price for investors, or two percent of the gross revenue from any project for licensed contractors, which was closed as a result of a referral lead or referral appointment generated by Association. All referrals, leads, and appointments are owned by Association for a period of five years after being accepted by Member from Association if designated as a Referral Appointment or Referral Lead. Association may assign all rights under this agreement to any subsidiary, affiliate, or third party for the purposes of providing services, generating leads, processing payments, collecting referral fees, or managing leads. Member may not assign, sell, or publish any referral lead or referral appointment without the express written consent of Association.

  7. Membership Pricing. Member will pay a discounted annual membership fee of three thousand nine hundred dollars ($3,900) for a Referral Membership, or $9,900 for a Concierge Membership. Payments will be made by electronic check, demand draft, or ACH bank transfer at the signing of this Agreement. The renewal date of the membership is one year from the date this agreement is executed. The pricing offered in this paragraph expires seventy-two hours from the date and time set forth in this Agreement if payment is not received from Member.

  8. Service Guarantee, refund Policy,  and Yearly Commitment. Association guarantees Member sixty (60) valid appointments per year, or that Member will close a minimum of twenty five thousand dollars in` transactions in the membership year from any leads, referrals, or appointments generated by Association. If Member does not receive at least sixty valid appointments in the membership year or generate a minimum of twenty-five thousand dollars in commissions/profits from Association leads or appointments, Member may request a free extension of the Concierge or Referral Membership for the next membership year. Member must make any free annual extension request by email or fax at least twenty-four hours before the renewal of the membership. Member agrees to provide a status update for all Referral Leads or Referral Appointments generated by Association.

  9. Arbitration and Dispute Resolution. Member and Association agree that they will settle any and all disputes through arbitration. Any decision made by an arbiter shall be legally binding. Arbitration proceedings of this agreement shall be in accordance with the existing rules of American Arbitration Association for resolution of commercial disputes. If either party engages arbitration, venue for arbitration shall be in Fairfax County, Virginia, or via telephone conference.

  10. Confidentiality. Association and Member recognize and acknowledge that the information that will be furnished to her/him concerning party’s customers, references, listings, holdings, investments, transactions, or other confidential matters constitutes a valuable, special, and unique asset and trade secret of their respective businesses. Confidential information will only be used to conduct business or transactions as set forth in this Agreement.

  11. Jurisdiction. This Agreement shall be governed, interpreted and construed by, through and under the laws of the state of Virginia.

  12. Entire Agreement, invalidity or unenforceability. This Agreement, subject to the Terms of Service on our website, , constitutes the entire contract and agreement between parties, and there are no verbal understandings or other agreements of any nature with respect to the subject matter hereof except those contained in this Agreement and the Terms of Service on the website. The invalidity or unenforceability of any portion of this Agreement shall not affect the remaining provisions and portions hereof. The headings at the beginning of each paragraph and section in this Agreement are for convenience of reference only and shall not limit or otherwise affect the meaning of this Agreement.
